1. NAME
The name of the society founded on 29 April 1971 shall be the Hornsey
Historical Society.
2. OBJECTS
The objects of the Society shall be the promotion of local history studies,
conservation work, and archaeological research within the ancient
ecclesiastical and civil parish of Hornsey and the parliamentary constituency
of Hornsey as defined at various times, by means of lectures, publications,
exhibitions, visits, research, and by such other means as the general committee
of the Society shall decide.
3. MEMBERSHIP
Applications for membership shall be submitted to the general committee of the
Society.
4. SUBSCRIPTIONS
Subscription rates shall be determined by members of the Society voting by a
majority at an annual general meeting or a special general meeting.

The annual subscription paid by a member shall cover twelve full months from
September 1st. Members joining after that date may pay on a pro rata basis by
arrangement with the treasurer,

Any member being three months or more in arrears may be removed from the
membership list of the Society by decision of the general committee.
5. MEETINGS

Meetings shall be of three kinds: ordinary, annual general, and special
general, meetings.

Ordinary meetings shall be arranged by the general committee for the purpose of
lectures, etc., in furtherance of the objects of the Society. By decision of
the general committee the public may be admitted to such meetings.

Annual general meetings shall be held each year in July, under the chairmanship
of the President or Vice-president (or in their absence, of the Chairman), to
receive the annual report and audited accounts, to elect the senior officers,
the general committee, and the Society's auditor.

Special general meetings shall be convened by decision of the general
committee, or at the demand in writing of not fewer than 25 per cent of all
members of the Society such demand being delivered in writing to the secretary
of the Society four clear weeks before the date proposed for such a meeting),
to conduct business of an extraordinary nature.

All business which it is proposed to transact at annual or specific general
meeting shall be notified to members at least seven clear days before the date
of the meeting, and such business as specified in the convening notice shall
alone be dealt with at the meeting.
6. SENIOR OFFICERS

The Society's senior officers shall be a

an assistant conservation officer,
-
a membership secretary,
-
a meetings secretary,

a sales manager,

an administrator of the Old Schoolhouse,

a bookstall/outside events organiser,

a curator.

Subject to the approval of a special general meeting or an annual general
meeting the office of secretary and treasurer may be held by the same person.
These officers shall be elected yearly at the annual general meeting. In the
case of a vacancy occurring between the annual general meetings the general
committee shall have power to fill the vacancy. The chairmanship of the Society
shall not be held by the same person for more than five consecutive years.

The Trustees of the Society under the requirements of the Charities Act 1992
shall comprise the holders during the relevant Society year of the following
posts :-
President; all serving Vice-Presidents; Chairman; Vice-Chairman; Secretary;
Treasurer.
7. GENERAL COMMITTEE

The Society shall be administered by a general committee consisting of the
senior officers, and up to four other members who shall be elected yearly at
the annual general meeting.

Any vacancies on the general committee may be filled by appointment by the
general committee.

The general committee shall have power to co-opt up to three persons.
-
The general committee may designate any of its members to have special
responsibility for specific Society activities.
-
The general committee may appoint sub-committees at its discretion.
-
The general committee shall have a quorum of five members in attendance in
order to transact business.
8. AUDITOR
An independent examiner shall be elected at the annual general meeting to
independently examine the Society's accounts for the year. The independent
examiner shall not be an officer or a member of the general committee. In the
event of a vacancy the general committee shall have the power to appoint an
independent examiner until the next meeting.
9. DISSOLUTION
In the event of the dissolution of the Society, any unexpended balance of
grants made by public or other bodies shall be re-funded, and the Society's
properties and effects (excluding monies) shall be offered to the Haringey
Libraries, Museums and Arts Department's local history collection. Monies shall
in like event be dealt with as determined.
10. CONSTITUTION
This constitution may be altered or supplemented at a special or annual general
meeting of the Society convened as in 5(c), (d) and (e) above, by members in
the general meeting.
